Conflicts, in writing

Both sides of the table. Here is exactly how that works for you.

The Wolfson Equity family sources acquisitions for buyers and represents owners who are selling. That is our edge — we know what buyers pay because we talk to them every day — and it is also a conflict if it is not managed in writing. This page is the writing.

The five rules

RULE 01

One mandate, one job. When Sentinel Transitions represents your sale, our job is your outcome. The family works across the whole market — we advise buyers, lenders and consolidators, and we may be compensated by more than one party to a transaction, including yours. Our engagement terms say exactly that, upfront, so how we are paid is never fine print.

RULE 02

Our buy-side clients get no head start. A buyer we source for signs the same NDA, sees your business only with your written go-ahead, and receives it at the same time as every other qualified buyer — never earlier, never with more.

RULE 03

You control the list. You see every buyer on your list before anyone is approached, and you can strike any buyer for any reason — no explanation required. Our relationships across the market stay confidential, the same way your identity does; your control is the veto, and it is absolute.

RULE 04

Wolfson Equity as a buyer. Wolfson Equity sometimes buys as principal. It may bid on a Sentinel Transitions mandate only if you invite it, in writing, and only alongside at least two unrelated qualified buyers — never as the sole offer.

RULE 05

You hold the pen. No buyer is approached, no document released, no term accepted without your written go-ahead. This is how Sentinel Desk is built, not a policy we ask you to trust.

Why this makes your competition real

Most sell-side firms know a rolodex. We know the live buy-boxes of some of the most acquisitive groups in North American healthcare and services because we source for them. Under the rules above, that intelligence works for you: we know who is buying, at what structures, in which states, and who re-trades late. We cannot and do not trade your information for theirs.

What you can ask for

• A copy of the engagement terms — including the compensation and relationships clause — before you sign anything.
• To strike any buyer from your list, at any time, for any reason.
• Written confirmation that no buyer is approached and no document is released without your written go-ahead.
